Benjamin Engel, a partner in the Firm, specializes in corporate and commercial law, advising for-profit and non-profit clients in a wide variety of business contexts. His experience includes purchases and sales of businesses; mergers, acquisitions, and divestitures; private placements of securities; venture capital transactions; secured transactions, restructurings and workouts; informal compositions with creditors; and resolving disputes within businesses.
Experience
Mr. Engel's experience also includes the formation of corporations, partnerships, and limited liability companies; drafting governing documents; negotiation and preparation of contracts covering a range of business relationships and resolution of disputes; and corporate dissolution and winding up. He has also handled the organization and structuring of professional health care practices, including counselling on Federal anti-kickback and self-referral issues. Mr. Engel also has the practical experience of having served as president and trustee of a non-stock corporation, and as a newspaper reporter and editor.
